You must agree to the terms of service of our xml directory feed program before signing up. These terms may be subject to change at any time with or without notice. Voss Software Directory Feed Network Affiliate and Advertiser Agreement Affiliate Program Voss Software will create a unique ID for you when you submit a completed Sign Up Form. This ID will be associated with links that you submit to the Voss Software Directory Feed. You can also use this ID to link to our site in order to earn affiliate commisions. Not exclusive The Voss Software affiliate program is offered non-exclusively. Commissions You can earn commissions by using your affiliate ID to get others to sign up to purchase links from us. Payment We pefer PayPal payment for all links. You may pay by other methods upon prior arrangement with us. If for some reason the payment fails after the link has been added the link will simply be removed. Qualifying Sites Voss Software reserves the right NOT to accept any site into the Affiliate Program OR the XML Feed based on site content. Sites that Do Not Qualify for the Voss Software Affiliate Program or XML Feed Link include sites which: promote nudity, sex, pornography or profanity promote hate or violence promote gambling promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age promote any illegal activities including mail fraud, pyramid schemes, chain letters contain insults/slander directed at other persons or companies violate intellectual property rights We further reserve the right to refuse any site that, for any reason, we deem does not comply with our company's philosophy and values. Unsolicited Commercial Email or SPAM Voss Software in no way participates in any form of mass unsolicited emailing (i.e. spamming), and all Affiliates are expected to adhere to this policy as well. A single violation of this policy will result in the termination of this contract and immediate dismissal from the Voss Software Affiliate Program. Relationship of Parties You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict this statement. Termination Either party may terminate this agreement at any time for any reason by written notice. Limitation of Liability We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to you under to this Agreement. Disclaimers We make no express or implied warranties or representations with respect to the Affiliate Program or your potential to earn income from the Affiliate Program. In addition, we make no representation that the operation of our site, Affiliate links, or XML Directory Feed Links will be uninterrupted or error free, and we will not be liable for the consequences of any interruptions or errors. Settlement Of Disputes You agree to settle any dispute under this agreement via binding arbitration in New Albany, IN USA. By signing up with Voss Software's XML Directory Feed Network Program, you acknowledge that you have read this agreement and agree to all its terms and conditions.
